Commercial Conveyancing
We advise our commercial business clients on all aspects of commercial transactions
and business transfers. We provide the highest service attention and legal expertise
to our client’s business needs.
We offer a wealth of experience including sale, purchase and lease of all types
of commercial property including shops, retail units, and the like.
What follows is a brief overview of what the commercial process involves.
Sale
Once you are satisfied that the commercial estimated legal fees we have provided
you with are satisfactory and you have also instructed us, you will be assigned
to a specialist commercial property solicitor who will look after you. We will then
request your title deeds to your property. We will also obtain online official copies
of your title. You will be asked to provide your answers to Commercial Enquiries
and (where appropriate).
The draft contract will be prepared and sent to the buyer's solicitors, who will
then carry out various searches. With your help, we will answer any additional enquiries
the buyer may have. Once these queries have been answered you will be asked to sign
the contract.
There are a number of additional issues that you will need to attend to if you are
selling your business along with the property. For example, you will need to clarify
the VAT position with your accountant and how you will be selling your business.
Once everyone is ready we can then proceed to exchange of contracts. At this stage
the sale becomes legally binding.
Prior to completion we will prepare the financial statement obtain details of the
sum required to redeem any mortgages and approve the Transfer Deed. On the completion
date once we receive the balance of the sale price we will arrange for any mortgages
to be repaid out of the sale proceeds, collect our legal fees, pay any agents (where
appropriate) and refund any surplus monies to you.
Purchase
Once you are satisfied that the commercial estimated legal fees we have provided you with are satisfactory and you have also instructed us, you will be assigned to a specialist commercial property solicitor. We will request the contract package from the seller's solicitor. Following receipt of this, we will apply for the local authority, environmental, water and any other necessary searches..
We will raise any additional enquiries and chase the replies. We will also chase the search results.
Once we are satisfied with everything we will prepare a legal report on the property you are buying and send it to you.
You will then be asked to sign the contract, mortgage deed stamp duty land transaction return and any other relevant legal documentation.. You will also be asked to provide a deposit. We can then on your instructions exchange contracts with the seller's solicitor. The purchase is now legally binding.
Once contracts have been exchanged we will prepare the final completion statement and carry our the final searches that need to be made against the property and you or your company.
Following completion we will pay the stamp duty and we will arrange to register the property at the Land Registry. Once the title is registered we will send evidence of registration to your lender. If there is no mortgage, we will send this to you instead.
